Terms of Service

These Terms of Service (“Terms”) govern your use of the Kosora platform operated by Kosora Group, LLC, doing business as Kosora (“Kosora,” “we,” “our,” or “us”).

Definitions

For the purposes of these Terms:

“Kosora” refers to Kosora Group, LLC, doing business as Kosora, and the platform, website, and services it operates. “Platform” refers to the Kosora website, applications, and any related services that enable connections between users. “User” refers to anyone who accesses or uses the Platform, including both Clients and Guides. “Client” refers to a User who seeks conversations, sessions, or guidance through the Platform. “Guide” refers to a User who applies to and is approved to offer sessions, conversations, or guidance through the Platform. “Session” refers to any interaction between a Client and a Guide facilitated through the Platform, including messaging, audio, or video communication. “Content” refers to any information, messages, text, profiles, or materials shared, posted, or transmitted through the Platform. “Appointment” means a booking made by a client for a specific service, date, and time through the Company’s platform, which may include the selection of a service, scheduling of a session, and submission of payment or payment information. An Appointment is considered confirmed once the booking process is completed in accordance with the Company’s requirements. By accessing or using Kosora, you agree to these Terms.

1. Overview of Kosora

Kosora is a platform that connects individuals (“Clients”) with independent Guides for short, conversational sessions focused on clarity, perspective, and personal or professional topics.

Kosora is not a provider of medical, mental health, legal, or financial advice.

2. Eligibility

You must be at least 18 years old to use Kosora.

3. Accounts

To use certain features, you must create an account and provide accurate information.

You are responsible for maintaining the confidentiality of your account.

4. Guide Approval and Eligibility

Kosora reserves the right, at its discretion, to review, approve, or reject any Guide application.

Not all applicants will be accepted onto the platform.

Kosora may consider factors such as qualifications, experience, availability, conduct, and overall fit with the platform when evaluating applications.

Kosora reserves the right to suspend or terminate a Guide’s access to the platform at any time, with or without notice, for any reason, including violations of these Terms or failure to meet platform standards.

5. Nature of the Service

Kosora provides a platform for communication between Clients and Guides.

  • Guides are independent contractors, not employees of Kosora.
  • Kosora does not control or guarantee the quality, accuracy, or outcomes of sessions.
  • Sessions are intended for general guidance and conversation only.

6. Payments and Fees

For Clients

  • Clients pay in full for sessions through the platform.
  • Clients authorize Kosora to charge the applicable fees for the selected service.
  • Payments are processed securely via Stripe.

All payments are made in advance and are subject to Kosora’s cancellation, rescheduling, and refund policies.

For Guides

  • Guides set or agree to session pricing through the platform.
  • By offering services, Guides agree to honor the pricing and availability associated with confirmed Appointments.
  • Kosora charges a platform fee as a percentage of each session.

The applicable percentage will be communicated to Guides and may be updated from time to time. Kosora reserves the right to modify fees with reasonable notice.

Kosora may withhold or adjust payouts in cases of cancellations, no-shows, disputes, or policy violations, in accordance with its policies.

7. Cancellations, Rescheduling, and No-Shows

For Clients

  • Clients may cancel or reschedule an Appointment up to 24 hours prior to the scheduled start time.

  • Cancellations or rescheduling requests made after this period will result in a 50% forfeiture of the session fee.

  • All Appointments are prepaid. Failure to attend a scheduled Appointment without prior notice (“no-show”) will result in the Appointment being forfeited without refund. Each Appointment is scheduled for a fixed duration:

  • No refunds or credits will be provided for unused time if a session ends early.

  • Late arrivals may result in a shortened session, and the Appointment will still end at the originally scheduled time without refund.

  • If a session exceeds the scheduled duration, additional time may be subject to additional charges or may require booking a new Appointment.

All cancellation and rescheduling requests must be made through the platform or other designated methods.

For Guides

  • Guides are expected to honor all confirmed Appointments.

  • If a Guide needs to cancel or reschedule, they must do so as early as possible through the platform.

  • Repeated cancellations, last-minute changes, or failure to attend scheduled Appointments may result in:

  • Reduced visibility on the platform

  • Withholding of payouts

  • Suspension or termination from the platform

For All Users

Kosora reserves the right to issue refunds, credits, or enforce fees at its discretion, including in cases of disputes, emergencies, or policy violations.

Kosora reserves the right to update or modify these policies at any time.

If material changes are made, Kosora will make reasonable efforts to notify users, such as by posting an updated version on the platform or sending a notification. Continued use of the platform after such changes constitutes acceptance of the updated policies.

8. Sessions and Communication

Sessions may occur via messaging, video, or other supported formats. Messages and session content may be stored by guide for:

  • User access
  • Dispute resolution
  • Trust and safety purposes

Kosora does not routinely monitor conversations but may review them if necessary.

9. Guide Responsibilities

If you apply to or act as a Guide, you agree to:

  • Provide accurate and truthful information
  • Maintain professional and respectful conduct and appearance
  • Not misrepresent qualifications
  • Comply with applicable laws, including tax obligations

Guides are solely responsible for their services and any content shared.

10. Prohibited Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Harass, abuse, or harm other users
  • Provide services that require professional licensing (such as medical, legal, or financial advice) unless you are properly qualified and authorized
  • Circumvent or attempt to circumvent the platform, including by arranging, accepting, or making payments outside of Kosora for services initiated through the platform
  • Solicit or share contact information for the purpose of conducting sessions or transactions outside of Kosora

Violations of this section may result in suspension or permanent removal from the platform and may result in forfeiture of pending payments.

11. No Professional Advice

Kosora is not a therapy, medical, legal, or financial service.

Any guidance provided by Guides is for informational purposes only and should not replace professional advice.

12. Disclaimers

Kosora provides the platform “as is” without warranties of any kind.

We do not guarantee:

  • Outcomes from sessions
  • Availability or performance of Guides
  • Uninterrupted access to the platform

13. Limitation of Liability

To the fullest extent permitted by law, Kosora is not liable for:

  • Any indirect or consequential damages
  • Outcomes of interactions between users
  • Decisions made based on platform conversations

14. Termination

We may suspend or terminate accounts at our discretion, including for violations of these Terms.

15. Community Guidelines

By using Kosora, you agree to follow our Community Guidelines, which are incorporated into these Terms by reference. These guidelines help keep Kosora safe, respectful, and aligned with our community standards.

Violation of the Community Guidelines may result in account suspension, removal from the platform, cancellation of sessions, withholding of payouts, or other action at Kosora’s discretion.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of California, United States.
